Please read these Terms carefully before using GPU Shards. They set out the rules for using our website and software, and the limits of our responsibilities.
01Acceptance of these terms
These Terms and Conditions (“Terms”) govern your access to and use of the GPU Shards website, the one-line installer, the source distribution, and the GPU Shards OS software and management panel (together, the “Service”). By accessing the website, running the installer, or using the software, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
02What the Service does
GPU Shards OS lets you partition a single NVIDIA GPU into memory-isolated slices for multiple containers on your own Ubuntu host. The software is installed and runs on infrastructure that you own or control. We do not host, operate, or have access to your installations, workloads, or data unless you explicitly share them with us.
03Licence to use the software
Subject to these Terms, we grant you a worldwide, non-exclusive, royalty-free, revocable licence to install and use the software for your own purposes. You may modify and operate the software on your hosts. You may not:
- remove or alter any copyright, trademark, or other proprietary notices;
- sublicense, sell, or present the software as your own product without attribution where attribution is required;
- use the GPU Shards name or logo in a way that suggests endorsement or affiliation without our prior written permission.
Where a component is distributed under its own open-source licence, that licence governs your use of that component and prevails over this section to the extent of any conflict.
04Third-party components
The installer configures and relies on third-party software, including Docker, the NVIDIA Container Toolkit and drivers, and the Project-HAMi libvgpu library. These components are provided by their respective owners under their own terms and licences. You are responsible for reviewing and complying with those terms. We are not responsible for third-party software, and your use of it is at your own risk.
05Acceptable use
You agree not to use the Service to:
- violate any applicable law, regulation, or third-party right;
- gain unauthorised access to any system, or interfere with the integrity or performance of any network or service;
- distribute malware, or run workloads you are not authorised to run on the underlying hardware.
You are solely responsible for the workloads you deploy, the data they process, and your compliance with the licences and acceptable-use policies of any GPU, driver, or container image you use.
06No warranty
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will not affect GPU drivers, host stability, or other software on your system.
Because the software interacts with GPU drivers and container runtimes at a low level, you should test it in a non-production environment first and maintain backups. You install and run it at your own risk.
07Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
08Changes to the Service and these Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date above, and material changes will take effect when posted. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
09Governing law
These Terms are governed by the laws of the European Union and the member state in which the Service provider is established, without regard to conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts of that member state, subject to any mandatory consumer-protection rights you may have under the law of your country of residence.
